These Terms and Conditions (“Agreement”) govern the use of the Tudeyo platform and services provided by Tudeyo LLC, a limited liability company registered under the laws of the Commonwealth of Massachusetts, United States (“Tudeyo,” “we,” “us,” or “our”). By accessing or utilizing the Tudeyo platform, including but not limited to its website (www.tudeyo.com), mobile applications, or services facilitated through local coordinators, you (“User,” “you,” or “your”) agree to be bound by this Agreement. Tudeyo reserves the right to amend this Agreement at any time, with continued use constituting acceptance of such amendments.
Article 1: Legal Compliance and Corporate Structure
1.1 Business Registration and Operations
Tudeyo LLC is duly registered and operates as a limited liability company under the jurisdiction of the Commonwealth of Massachusetts, United States. Tudeyo functions as a global Destination Marketing Company (“DMC”), facilitating connections between Users and third-party service providers, including but not limited to accommodations, wellness providers, tour operators, and cultural experience providers, across regions including Uganda, United Arab Emirates (Dubai), Rwanda, Tanzania, Kenya, Dominican Republic, Colombia, Turkey, Botswana, South Africa, and Namibia.
1.2 Independent Contractor Relationships
Local coordinators and service providers engaged by Tudeyo operate as independent contractors and are neither employees, subsidiaries, nor franchisees of Tudeyo LLC. Such parties are solely responsible for their compliance with applicable local laws, including licensing, taxation, and labor regulations.
1.3 Data Protection Compliance
Tudeyo adheres to applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) for European Users, the California Consumer Privacy Act (CCPA) for California residents, the Protection of Personal Information Act (POPIA) in South Africa, and other relevant data privacy regulations in operating jurisdictions. Personal data is collected solely for the purposes of booking facilitation, communication, and service delivery, and shall not be sold or disclosed to third parties without explicit User consent, except as required by law.
1.4 Tax Obligations
Tudeyo complies with United States Internal Revenue Service (IRS) regulations for all U.S.-sourced income. Local coordinators and third-party service providers are solely responsible for their own tax declarations and compliance with applicable tax laws in their respective jurisdictions.
1.5 Affiliate and Licensing Disclosures
Tudeyo maintains affiliate relationships with licensed accommodation providers, medical clinics, transport operators, and travel agents, as required by local regulations. All affiliate relationships are disclosed in accordance with international advertising and marketing standards, and commissions earned do not affect the prices paid by Users.
Article 2: User Agreement and Platform Access
2.1 Eligibility
To access or book services through the Tudeyo platform, Users must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts. By using the platform, Users represent and warrant that they meet these eligibility requirements.
2.2 Account Responsibilities
Users are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account. Tudeyo reserves the right to suspend or terminate accounts suspected of fraudulent, abusive, or unauthorized activity.
2.3 Platform Usage Restrictions
Users agree not to:
- Use the platform for any unlawful or prohibited purpose;
- Post or transmit false, misleading, obscene, or harmful content;
- Interfere with or disrupt the platform’s functionality, including through hacking, malware, or other unauthorized means; or
- Violate the intellectual property rights of Tudeyo or third parties.
Tudeyo reserves the right to suspend or terminate access for violations of these restrictions.
Article 3: Booking and Payment Terms
3.1 Role as Intermediary
Tudeyo operates exclusively as an intermediary, facilitating connections between Users and third-party service providers. Tudeyo does not own, operate, or control any accommodations, tours, wellness services, or medical facilities listed on its platform. All services are provided subject to the terms and conditions of the respective third-party providers.
3.2 Booking Process
All bookings are subject to availability and confirmation by the relevant service provider. Tudeyo shall communicate booking confirmations to Users via email or through the platform. Users acknowledge that bookings may be subject to additional terms imposed by service providers.
3.3 Payment Terms
Payments for services are processed through secure third-party payment gateways, including but not limited to Stripe, PayPal, and region-specific processors. Prices displayed may include Tudeyo’s service fees or commissions payable to coordinators or partners. Local currency payments may apply based on the jurisdiction of service delivery.
Article 4: Cancellation and Refund Policy
4.1 Provider-Specific Policies
Cancellations and refunds are governed by the policies of the respective third-party service provider. Tudeyo will facilitate communication of cancellation requests but does not guarantee refunds. Users must submit cancellation requests through the platform or via email to info@tudeyo.com.
4.2 Medical Tourism Cancellations
Deposits for medical tourism services are non-refundable unless canceled at least fourteen (14) days prior to the scheduled procedure, subject to the provider’s policy and applicable local consumer protection laws (e.g., in Turkey or Colombia).
4.3 Tours and Accommodations
Cancellations for tours or accommodations must be submitted at least forty-eight (48) hours prior to the service date, unless otherwise specified by the provider at the time of booking.
4.4 Emergency Cancellations
In cases of documented medical or political emergencies, Tudeyo may facilitate refund requests on a case-by-case basis, subject to the provider’s discretion and applicable laws.
Article 5: Coordinator Roles and Responsibilities
5.1 Independent Contractor Status
Coordinators are independent contractors engaged to manage local partnerships, monitor service quality, and assist Users. Coordinators are not employees of Tudeyo and are responsible for their own compliance with local labor, licensing, and tax regulations.
5.2 Duties and Obligations
Coordinators shall:
- Recruit and verify licensed service providers;
- Ensure service quality aligns with Tudeyo’s standards;
- Provide timely assistance to Users during their travel or service experience;
- Submit monthly activity reports using Tudeyo’s designated templates; and
- Respond to User and Tudeyo inquiries within twenty-four (24) hours.
5.3 Termination of Coordinator Agreements
Tudeyo reserves the right to terminate coordinator agreements for violations of this Agreement, the Coordinator Handbook, or applicable laws, with fifteen (15) days’ written notice. Outstanding commissions will be paid up to the termination date.
Article 6: Liability and Risk Disclaimer
6.1 No Liability for Third-Party Services
Tudeyo acts solely as an intermediary and marketing facilitator. Tudeyo shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to personal injury, property damage, financial loss, medical complications, or service disruptions, arising from services provided by third parties.
6.2 User Due Diligence
Users are solely responsible for verifying the legitimacy, licensing, and reputation of service providers. Tudeyo strongly recommends that Users obtain comprehensive travel and health insurance prior to engaging with any services booked through the platform.
6.3 Medical Tourism Disclaimer
Tudeyo does not provide medical advice, treatment, or services. All medical procedures are performed at the sole discretion and responsibility of licensed medical facilities. Users acknowledge that any disputes or adverse outcomes related to medical services are solely between the User and the medical provider. Article 7: Intellectual Property
7.1 Ownership
The Tudeyo name, logo, website content, designs, and other proprietary materials are the intellectual property of Tudeyo LLC and are protected by applicable copyright, trademark, and other intellectual property laws. Users may not reproduce, distribute, or modify such materials without prior written consent from Tudeyo.
7.2 User-Generated Content
Users grant Tudeyo a non-exclusive, royalty-free, worldwide license to use, display, and reproduce any content submitted to the platform (e.g., reviews, feedback) for promotional or operational purposes, subject to applicable data protection laws.
Article 8: Non-Discrimination Policy
8.1 Commitment to Inclusivity
Tudeyo prohibits discrimination based on race, gender, religion, nationality, language, disability, age, sexual orientation, or any other protected characteristic. All coordinators and service providers must uphold inclusive practices in accordance with local and international laws.
8.2 Reporting Violations
Users may report instances of discrimination to info@tudeyo.com. Tudeyo reserves the right to investigate and terminate relationships with coordinators or providers found to violate this policy.
Article 9: Affiliate and Partner Terms
9.1 Affiliate Relationships
Tudeyo may earn commissions from bookings made through affiliate relationships with service providers. Such commissions do not affect the prices paid by Users. All affiliate marketing complies with international advertising standards and local regulations.
9.2 Partner Responsibilities
Service providers and affiliates must provide accurate information, maintain service quality, and comply with applicable licensing and tax obligations. Misrepresentation or failure to meet standards may result in termination of the partnership.
Article 10: Modifications to Terms
10.1 Right to Amend
Tudeyo reserves the right to modify or update this Agreement at any time, with or without prior notice. Amendments will be effective upon posting to the Tudeyo website or notification to Users.
10.2 Continued Use
Continued use of the Tudeyo platform following any amendments constitutes acceptance of the revised terms.
Article 11: Governing Law and Dispute Resolution
11.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law principles.
11.2 Dispute Resolution
Any disputes arising under or in connection with this Agreement shall be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in Boston, Massachusetts, under the rules of the American Arbitration Association. Each party shall bear its own costs, unless otherwise determined by the arbitrator.

Article 13: Miscellaneous
13.1 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.2 Entire Agreement
This Agreement constitutes the entire understanding between Tudeyo and the User, superseding all prior agreements, whether written or oral, relating to the subject matter herein.
13.3 Force Majeure
Tudeyo shall not be liable for delays or failures in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, or governmental actions.
13.4 Waiver
No waiver of any provision of this Agreement shall constitute a waiver of any other provision, nor shall it be deemed a continuing waiver unless expressly stated in writing.
Platform Disclaimer
Tudeyo is a destination marketing platform that connects Users with independent third-party service providers. Tudeyo does not own, operate, or control any accommodations, tours, wellness services, or medical facilities listed on its platform. All bookings are subject to the terms, conditions, and liabilities of the respective service providers. Users acknowledge and agree that Tudeyo’s role is limited to facilitating introductions and coordination, and that all service delivery, quality, and liability matters rest exclusively with the third-party providers.
These general marketplace terms should be reviewed by qualified legal counsel before commercial launch and adapted to the jurisdictions in which TUDEYO operates.
